TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

Welcome to Lanistr ("Platform", "Service", "we", "us", or "our"), operated by Media Evolution. By accessing or using lanistr.com, our mobile applications, or any related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Media Evolution regarding your use of the Lanistr platform and all associated services, including but not limited to the web application, iOS application, and any APIs.

We reserve the right to update or modify these Terms at any time. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. DESCRIPTION OF SERVICE

Lanistr is a combat sports management platform designed to connect fighters, coaches, and promoters. The Platform provides tools for managing fighter profiles, fight records, gym directories, event management, AI-assisted fight matching, medical clearance tracking, blood work record-keeping, notifications, and related services.

The Platform supports three primary user roles: Fighters (athletes), Coaches (gym operators and trainers), and Promoters (event organisers). Certain features and interfaces are role-specific. The iOS application is available to Fighters and Coaches, while Promoters access the Platform via the web application.

3. ACCOUNT REGISTRATION

To use certain features of the Platform, you must create an account. When registering, you agree to:

Provide accurate, current, and complete information during the registration process
Maintain and promptly update your account information to keep it accurate, current, and complete
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorised use of your account

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to create an account and use the Platform. If you are under 18, you may only use the Platform with the involvement and consent of a parent or legal guardian.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.

4. USER ROLES AND RESPONSIBILITIES

Each user role carries specific responsibilities. By selecting a role during registration, you agree to the general responsibilities outlined below as well as the role-specific obligations that follow.

4.1 FIGHTERS / ATHLETES

As a Fighter on Lanistr, you acknowledge and agree that:

You are solely responsible for the accuracy and completeness of your fighter profile, including biographical information, physical stats, and training history
You are solely responsible for the accuracy of your fight records, including win/loss records, opponents, and fight outcomes
You are solely responsible for the accuracy of any medical data you upload, including blood work results and medical clearance documents
Your profile information, including your name, photo, fight record, and availability status, may be visible to Coaches and Promoters on the Platform
AI-assisted fight matching is advisory only and does not constitute a binding fight agreement, a guarantee of a fight opportunity, or an endorsement of any particular matchup
You must independently verify all fight arrangements, opponent details, and event information before committing to any bout
You are responsible for ensuring you have all required medical clearances and are physically fit to compete, independent of any records stored on the Platform

4.2 COACHES / GYM OPERATORS

As a Coach on Lanistr, you acknowledge and agree that:

You are solely responsible for the accuracy and completeness of your gym listing, including location, contact details, training disciplines, and operating hours
You will manage your fighter roster ethically, including only adding fighters who have consented to being associated with your gym
You must not share, distribute, or otherwise disclose any fighter medical data (including blood work results and medical clearance documents) to any external third party outside the Platform
You will respect the privacy and confidentiality of your fighters' personal and medical information
You are responsible for maintaining accurate and up-to-date information about the fighters on your roster
You will not use the Platform to mislead fighters, promoters, or other users about your gym's capabilities, affiliations, or credentials

4.3 PROMOTERS / EVENT ORGANISERS

As a Promoter on Lanistr, you acknowledge and agree that:

You are solely responsible for the accuracy and completeness of all event information you publish, including dates, venues, weight classes, rules, and eligibility requirements
You are responsible for maintaining an active subscription and making timely payments for your use of the Platform's promotion features
You are responsible for all aspects of event management, including compliance with local laws, regulations, and sporting body requirements
AI-assisted fight matching is a tool to assist you in finding potential matchups and does not constitute a guarantee of fighter availability, suitability, or willingness to compete
You must independently verify all fighter credentials, medical clearances, records, and eligibility before finalising any fight card
You will not use the Platform to organise events that violate any applicable laws or regulations
You are responsible for ensuring all required licences, permits, and insurance are in place for your events

5. ACCEPTABLE USE

You agree not to use the Platform to:

Violate any applicable local, state, national, or international law or regulation
Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
Upload false or misleading fight records, medical documents, or profile information
Interfere with or disrupt the Platform or servers or networks connected to the Platform
Attempt to gain unauthorised access to any portion of the Platform or any other systems or networks connected to the Platform
Use any automated means, including bots, scrapers, or spiders, to access the Platform for any purpose without our express written permission
Collect or store personal data about other users without their express consent
Use the Platform for any commercial purpose not expressly permitted by these Terms
Harass, bully, or intimidate other users of the Platform

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending content and terminating the accounts of such violators.

6. INTELLECTUAL PROPERTY

The Platform and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Media Evolution and its licensors. The Platform is protected by copyright, trademark, and other intellectual property laws of Australia and international treaties.

The Lanistr name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Media Evolution. You must not use such marks without our prior written permission.

By posting, uploading, or submitting content to the Platform (including but not limited to profile information, photos, fight records, and gym details), you grant us a non-exclusive, worldwide, royalty-free, transferable licence to use, reproduce, distribute, display, and perform that content in connection with operating and providing the Platform. You retain ownership of any content you submit.

You represent and warrant that you own or have the necessary rights and permissions to use and authorise us to use all intellectual property rights in and to any content you provide, and that such content does not infringe the rights of any third party.

7. PAYMENT TERMS

Lanistr offers monthly subscription plans based on your account type. All plans are billed monthly and may be cancelled at any time.

7.1 SUBSCRIPTION PLANS

The following subscription plans are available:

Fighter Subscription (Web): AUD $9.90 per month — fighter profile, fight record tracking, gym connections, event notifications, and medical record management
Fighter Subscription (iOS): AUD $9.99 per month or $99.99 per year — same features accessed via the iOS app, with a 7-day free trial for new subscribers
Coach Subscription (Web): AUD $19.90 per month — gym management, fighter roster, directory listing, and coaching tools
Coach Subscription (iOS): AUD $19.99 per month or $199.99 per year — same features accessed via the iOS app, with a 7-day free trial for new subscribers
Promoter Subscription (Web only): AUD $100 per month — event management, fight card management, AI-assisted fight matching, and promotion tools

7.2 PAYMENT PROCESSING

Web platform payments are processed securely through Stripe. By subscribing via the web, you agree to Stripe's terms of service in addition to these Terms. iOS app subscriptions are processed through Apple's in-app purchase system; by subscribing via the iOS app, you also agree to Apple's media services terms and conditions. We do not store your full credit card details on our servers.

7.3 BILLING AND RENEWAL

Subscriptions are billed monthly in advance. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. The renewal charge will be at the then-current subscription rate.

7.4 CANCELLATION

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to your account features until the end of your current billing period. No refunds will be issued for partial billing periods.

7.5 PRICE CHANGES

We reserve the right to change our subscription prices at any time. If we change pricing, we will provide you with at least 30 days' notice before the new price takes effect. Your continued use of the Platform after the price change constitutes your agreement to pay the updated amount.

8. MEDICAL AND HEALTH DISCLAIMERS

IMPORTANT: LANISTR IS NOT A MEDICAL SERVICE.

The Platform provides tools for record-keeping purposes only. Medical clearance tracking, blood work tracking, and any other health-related features on the Platform are provided solely as organisational tools to help users store and manage their own records.

Lanistr does not provide medical advice, diagnoses, or treatment recommendations. The Platform does not interpret, analyse, or validate any medical data uploaded by users. The presence of medical records on the Platform does not constitute medical clearance, fitness certification, or a professional medical opinion.

You must always consult with qualified medical professionals regarding your health and fitness to participate in combat sports. Never disregard professional medical advice or delay seeking it because of information stored or displayed on the Platform.

Combat sports involve inherent risks of physical injury, including but not limited to concussions, fractures, lacerations, and other serious or potentially life-threatening injuries. By using the Platform, you acknowledge that you understand these risks and assume full responsibility for your participation in any combat sports activities.

9. AI FIGHT MATCHING DISCLAIMER

The Platform offers AI-assisted fight matching as a tool to suggest potential matchups between fighters based on criteria such as weight class, experience level, fight record, and other factors. You acknowledge and agree that:

AI fight matching is advisory only and intended as a starting point for matchmaking decisions
Match suggestions do not constitute professional matchmaking advice, a binding fight offer, or a guarantee that any suggested matchup is safe, fair, or appropriate
All fight arrangements must be independently verified by the relevant parties (fighters, coaches, promoters) before any bout is confirmed
We make no representations or warranties regarding the accuracy, completeness, or suitability of any match suggestions generated by the AI system
The AI system relies on data provided by users; inaccurate input data will result in inaccurate match suggestions
Final matchmaking decisions are the sole responsibility of the promoters, coaches, and fighters involved

Lanistr, Media Evolution, and their affiliates shall not be held liable for any injuries, damages, or losses arising from fights arranged based on AI match suggestions or any other information provided through the Platform.

10. PRIVACY AND DATA

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy. You acknowledge that certain profile information may be visible to other users based on your role and the Platform's functionality.

We take the security of your data seriously and implement industry-standard measures to protect your personal information, including medical records and blood work data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

11. DISCLAIMERS

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that: (a) the Platform will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Platform is free of viruses or other harmful components; or (d) the results of using the Platform will meet your requirements.

We do not endorse, guarantee, or assume responsibility for any content posted by users, any product or service advertised or offered by a third party through the Platform, or any hyperlinked website or feature.

Combat sports are inherently dangerous activities. Lanistr is a management and communication tool only and does not supervise, organise, sanction, or take responsibility for any combat sports events, training sessions, or fights arranged through or in connection with the Platform.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDIA EVOLUTION, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Your access to or use of, or inability to access or use, the Platform
Any conduct or content of any third party on the Platform
Any content obtained from the Platform
Unauthorised access, use, or alteration of your transmissions or content
Any physical injuries sustained during combat sports activities, training, or events arranged through or in connection with the Platform
Any reliance on AI-generated fight match suggestions
Any reliance on medical records, blood work data, or medical clearance information stored on the Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR AUD $100, WHICHEVER IS GREATER.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Media Evolution and its officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Platform; (c) your violation of any rights of a third party; (d) any content you post, upload, or otherwise make available through the Platform; (e) your participation in any combat sports events, training, or activities arranged through or in connection with the Platform; or (f) any inaccurate information you provide, including fight records, medical data, event details, or profile information.

14. TERMINATION

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Platform will cease immediately.

Upon termination: (a) any active subscriptions will be cancelled and no refunds will be issued for unused portions of the billing period; (b) we may retain certain information as required by law or for legitimate business purposes; (c) provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to delete your account data after a reasonable period following account termination, in accordance with our data retention policies and applicable law.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

16. DISPUTE RESOLUTION

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Platform ("Dispute"), you agree to first attempt to resolve the Dispute informally by contacting us at legal@lanistr.com. We will endeavour to resolve the Dispute through good-faith negotiation within thirty (30) days of receiving your written notice.

If a Dispute cannot be resolved informally, you and Media Evolution agree to submit the Dispute to mediation administered by an agreed-upon mediation provider in Australia before pursuing any formal legal proceedings.

If mediation is unsuccessful, any remaining Dispute shall be resolved by the courts of Australia, and you consent to the exclusive jurisdiction of those courts.

17. MODIFICATIONS TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

We will notify you of changes by posting the updated Terms on the Platform, updating the "Last updated" date at the top of this page, and, where practicable, sending you an email or in-app notification. By continuing to access or use the Platform after any revisions become effective, you agree to be bound by the revised Terms.

18. GENERAL PROVISIONS

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Media Evolution regarding the use of the Platform and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will only be effective if in writing and signed by Media Evolution.

Assignment. You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms without restriction.

Force Majeure. We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, or internet or infrastructure failures.
